What are terms and conditions for the sale of goods to a business and when should you use it?

 

Terms and conditions for the sale of goods to business customers (also known as T&Cs) protect your business interests, ensure that customers know where they stand and help avoid disputes.

Terms and conditions should be used if you want to sell goods to another business on standard terms.

They should cover key issues such as orders, specifications, delivery obligations, pricing, payment, risk, warranties, defects, liability and termination.

This is a straightforward supply of goods agreement where you are supplying another business.

It will give you a great basis to agree more detailed supply terms if you wish to do so.

It is not suitable for supply of goods to consumers, as different T&Cs are required for this.

You should use our separate template covering supply of goods to consumers instead.

Use these terms and conditions:

  • when you are selling goods to another business
  • to make it clear where everyone stands if something goes wrong
  • when you want your terms of business to be the same for every sale
  • when you are supplying custom-made and/or standard goods

  • what the rules are about your goods being of a satisfactory quality (within the meaning of the Sale of Goods and Supply of Services Act);
  • fit for the purpose for which they are intended to be used by your customer;
  • whether you’ll be delivering the goods and if so, how you’ll do so;
  • what price you’re charging;
  • what happens if the goods are defective and how much is your liability if they cause damage or injury;
  • whether you’ll charge interest on late payment for the goods and at what rate of interest.
