What is a letter of consent to act as a director, and when should you use it?

 

The Companies Act requires that a person must consent to being appointed as a director and to act in that capacity.

Each director must consent to their appointment and sign a statement in the prescribed form to the effect that:

“I acknowledge that, as a director, I have legal duties and obligations imposed by the Companies Act, other statutes and at common law.”

This Consent to Act (Director) template has been drafted with the above in mind and should be used by companies to confirm that the proposed director is a fit and proper person as well as providing the company with written comfort that the director has in fact consented to act and therefore allow the company to file the required Form B10 and for the director to make the required statement to the CRO.

This template has been drafted as a letter addressed to the company and will make a useful addition to a company’s internal housekeeping records.
