S.196(2) of the Companies Act 2014 confirms the power of a sole member to remove a Director.
Any of the procedures under section 146 concerning notice to the director or the making of representations by the director shall not apply in the case of a single-member company but this is without prejudice to the application of the requirements of procedural fairness to the exercise of that power of removal by the sole member and section 147.
Under S.193(11)(a) a unanimous written resolution cannot be used to remove a Director.
Therefore a written decision of sole member must be used.
