What is a resolution of sole director appointing an additional director and when should you use it?
In the case of a single-director company, the sole director may appoint a person to be a director of the company.
If you are a sole director, then you should use this resolution to appoint an additional director.
It records the fact that the new director has been appointed and has consented to the appointment.
